Buying Singapore Property Through a Company: 65% ABSD Math

Company purchases of Singapore residential property pay 65% ABSD, no remission. The full entity cost stack, ACD on share deals, and when a company still wins.

Quick answer: a company buying Singapore residential property pays 65% ABSD, S$1,300,000 on a S$2,000,000 unit, with no remission and no FTA relief. Share-transfer workarounds died with ACD, which taxes significant owners of property-holding entities at BSD-scale rates plus a top-tier flat component. Corporate structures earn their keep in commercial assets and multi-investor ventures, not condos. Personal tiers live in the ABSD guide.

What does the entity rate actually cost on a real purchase?

Entity ABSD is a flat 65% of price or market value, whichever is higher, with none of the ladder that softens personal tiers. A company’s first residential purchase and its fifth stamp identically, foreign shareholders change nothing, and the 65% sits on top of the ordinary BSD ladder of 1% to 6%.

Underwriting snapshot on a S$2,000,000 condo, entity against the personal alternatives:

BuyerABSDBSDTotal duty
Company or other entityS$1,300,000S$69,600S$1,369,600
Foreign individual, no FTAS$1,200,000S$69,600S$1,269,600
SC or FTA national, second propertyS$400,000S$69,600S$469,600
SC or FTA national, first propertyS$0S$69,600S$69,600

Three design points explain why the schedule tops out here:

  • No concession tiers: the regime assumes entities buy for investment, so every purchase is priced as a marginal one
  • No FTA flow-through: treaty relief is personal to qualifying nationals and stops at the corporate veil
  • Developer carve-out only: licensed housing developers pay 35% remittable against sale conditions plus 5% non-remittable, a regime for building homes, not holding them

Recovery mathematics close the case for most investors before any spreadsheet opens, and the numbers are stark enough to state in full. A 65% entry charge on S$2,000,000 is S$1,300,000 of duty; against gross residential yields of 2.5% to 4%, meaning S$50,000 to S$80,000 of rent a year on that price, the ABSD alone consumes roughly 16 to 26 years of gross rent before a single dollar of return exists, and net figures after property tax at 12% to 36% of annual value, maintenance and the 17% corporate rate stretch that bridge past 30 years in most configurations. Limited liability, clean succession and audit-ready accounts are genuine benefits, but each is available more cheaply through insurance, wills and bookkeeping. Our analysis has yet to find a residential holding where the corporate advantages repay a 65% toll, and we have looked hard on behalf of clients who wanted the answer to be yes.

Why did the share-transfer shortcut stop working?

Additional Conveyance Duties closed the classic manoeuvre of selling the company instead of the condo, and the closure is now nearly a decade old. Since March 2017, equity transfers in property-holding entities, broadly those with 50% or more of value in Singapore residential property, attract ACD for buyers who are or become significant owners, computed on the underlying residential value rather than the share price.

The buyer-side charge has two limbs, and together they reproduce the duty the share deal tried to skip: a BSD-scale component of 1% to 4%, plus a flat component pegged to the top residential ABSD tier. On the sell side, ACD for sellers applies a flat 16% to equity disposed of within four years of acquisition, for interests acquired on or after 4 July 2025, mirroring the SSD ladder that governs direct property sales.

A checklist for anyone still offered “just buy the shares” at a dinner party:

  1. Is the target a property-holding entity? Half or more of assets in Singapore residential property usually answers yes
  2. Will the buyer be a significant owner? Equity of half or more, alone or with associates, brings ACD home
  3. What does the underlying valuation say? ACD prices the property inside, not the share certificate
  4. Any exit inside four years? The seller-side 16% flat charge is waiting

Red flag recurring in our clients’ files: offshore holding layers presented as insulation. Stacking a BVI company above the Singapore entity changes the paperwork, not the analysis; the charge follows beneficial movement in the underlying residential value, and structures marketed on the promise that ACD “does not see” the top layer are precisely the ones that end in professional-fee bonfires.

What does life inside the wrapper cost each year?

Annual economics inside a company differ from personal holding on every line, and most lines run against the entity. Net rental profit is taxed at the 17% corporate rate, property tax applies at non-owner-occupier bands of 12% to 36% of annual value, and there is no owner-occupier concession because a company occupies nothing.

Worked example our clients see most often, a S$2,000,000 unit renting at S$4,600 a month:

Annual lineAmountNote
Gross rentS$55,200S$4,600 across 12 months
Property tax (AV about S$55,200)S$9,456Non-owner-occupier bands, 12% to 36%
MCST and upkeepS$5,400Typical mid-tier condo
Net before corporate taxabout S$40,300Before interest and management
Corporate tax at 17%about S$6,900On net profit after deductions

Compliance rides on top at S$3,000 to S$8,000 a year for accounting, secretarial and filing, and the financing line is often the decisive one. Banks underwrite corporate property loans on the entity’s covenant rather than the 55% personal TDSR, routinely capping leverage near 50% for single-asset vehicles and pricing 30 to 80 basis points above owner-occupier rates, so the wrapper demands more equity precisely where the duty already consumed it.

Dividend extraction is where the wrapper’s annual cost becomes visible to shareholders who live outside Singapore’s one-tier system. Singapore levies no further tax on dividends a resident shareholder receives, so a local family extracting the S$33,400 left after the 17% corporate charge on our worked example keeps all of it. A shareholder taxed at home on worldwide income often does not: a 30% home-country rate on that same distribution removes another S$10,000 a year, stacking a second layer the personal route never faces, and treaty relief recovers only part of it in most jurisdictions. Across a ten-year hold, the extraction gap alone approaches S$100,000 on one mid-sized condo, before the S$1,300,000 entry toll is remembered. The personal foreign-owner tax picture beats the corporate one for nearly every individual investor, which is why the corporate files that make sense are commercial, plural in ownership, or both.

How does a company finance and complete a purchase?

Corporate financing costs more on every line: banks typically lend an investment-holding company less of the price than the 75% a personal first loan reaches, price the facility above owner-occupier rates, and require directors’ personal guarantees that quietly reattach the family’s balance sheet to the deal the wrapper was meant to separate.

PricingOwner-occupier packagesCorporate margin above them
Underwriting basis55% TDSR on personal incomeCompany cashflow plus guarantees
Personal exposureThe borrower’s ownDirectors’ guarantees, joint and several
Approval timeline2 to 3 weeks6 to 10 weeks with account opening

Completion mechanics add their own checklist:

  • Board resolutions authorising the purchase, the borrowing and the signatories
  • The company’s constitution checked for property-holding and borrowing powers
  • A corporate bank account opened and funded before the option is exercised
  • ACRA filings current, because lenders verify the register before drawdown

Our clients discover the guarantee line late and it deserves to move first: a director who guarantees the holdco’s S$1,000,000 facility has not escaped personal liability, only added a corporate administration layer on top of it, and the guarantee also counts against the director’s own future borrowing capacity when the family’s next personal purchase is assessed.

How does the structure unwind at exit?

Unwinding costs a second round of professional fees and often a second round of tax: the company sells the property under the same 16/12/8/4% SSD ladder that binds individuals, then the proceeds sit behind the corporate veil until they exit as dividends or through liquidation, with 17% corporate tax already paid on any gains treated as trading income.

Exit stepCost or frictionNotes
Property sold by the companySSD if inside 4 years; agent and legal feesSame ladder as individuals
Gains assessed0% if capital in nature; 17% if tradingFrequent-flip patterns read as trading
Proceeds distributed as dividendsTax-free to Singapore-resident shareholdersOne-tier system, no dividend withholding
Foreign shareholders’ home taxTheir jurisdiction may tax the dividendThe second layer returns
Company struck off or liquidated~S$2,000 to S$10,000 and months of filingsThe wrapper’s exit invoice

A closing checklist our underwriting runs on any exit plan:

  1. Time the sale past the SSD ladder exactly as an individual would
  2. Settle whether gains will read as capital or trading before the sale, not after assessment
  3. Clear intercompany and director loans before distribution, or the accounts block striking off
  4. Price the final liquidation invoice into the original entry comparison, because it was always coming

When does a company structure genuinely win?

Corporate ownership earns its fees where residential ABSD never enters the frame, and the honest list is short. Commercial property, offices, shophouses zoned commercial, industrial space, carries no ABSD at all, so the entity’s real costs, 17% tax and compliance, buy limited liability and clean multi-party ownership without a duty penalty.

Buyer scenario from a genuine mandate: four investors assembling S$6,000,000 for a commercial shophouse. Personal co-ownership would tie four families’ names to one title, complicate exits and estates, and expose each to the others’ creditors. A special-purpose company gives them share-denominated ownership, transferable interests, a clean borrowing vehicle, and board-controlled decisions, at zero ABSD because the asset is commercial. Every element that made the company poison for a condo becomes the point of the exercise here.

Use caseDoes the entity make sense?Driving reason
Single residential condo, any investorNo65% is unrecoverable at residential yields
FTA national with citizen-tier accessNoPersonal tiers of 0/20/30 beat 65% everywhere
Commercial or industrial assetOftenNo ABSD; GST at 9% applies instead, recoverable when registered
Multi-investor venture, mixed nationalitiesCase by caseShare ownership may justify the price on commercial assets
Licensed residential developmentYes, by designThe 35% + 5% developer regime exists for exactly this

Timing matters as much as structure. Incorporation, bank account opening and corporate mortgage approval together take six to ten weeks in practice, against two to three weeks for a personal loan, and option periods on resale units run 14 days as standard. A buyer who decides on an entity after securing the option is usually forced to either extend at a price or complete personally and face a second round of duty moving the asset later.

Insider tip: run the alternative stack before accepting any corporate recommendation, and demand the comparison in writing. The combinations that actually compete for families are personal holding at citizen or FTA tiers, the trust route where control over a minor’s asset is the true goal, and an adult child’s direct title where succession is; a company appears in that shortlist only when the asset is not residential at all.

A final defensive note belongs on the record: buying the property personally and later moving it into a company is not a repair route but a second full purchase, with BSD and 65% ABSD charged again on the transfer at market value. Structures are therefore decided once, at the original option, and every adviser who suggests the company can be added later is describing a transaction that roughly doubles the duty bill rather than deferring it. The comparison memo, entity against personal against trust, belongs in writing before the option fee moves, because after exercise every one of these numbers is locked.

The pros and cons resolve into a single sentence each. For: limited liability, transferable shares, institutional cleanliness, and full deductibility of real costs against a 17% rate. Against: a 65% ABSD entry with no exit, ACD sealing the share-deal route, non-owner-occupier property tax, costlier debt, annual compliance, and a second tax layer for most foreign shareholders. Residential buyers comparing every route should finish with the second-property mathematics, where the same numbers are run for personal tiers.

Frequently Asked Questions

A flat 65% on every residential purchase, with no first-property tier, no FTA relief and no remission for investment holding. On S$2,000,000 that is S$1,300,000 plus S$69,600 BSD. Licensed housing developers sit in a separate 35% remittable plus 5% non-remittable regime.

No. Equity transfers in property-holding entities attract Additional Conveyance Duties for significant owners: 1% to 4% on a BSD scale plus a flat component pegged at the top residential tier, all computed on the underlying residential value. The route closed in 2017.

No. Treaty relief is personal to qualifying US and EFTA nationals and stops at the corporate veil. A company wholly owned by a US national still pays 65%; the same person holding personally is taxed at citizen tiers.

Net rental profit is taxed at 17%, property tax runs at non-owner-occupier bands of 12% to 36% of annual value, and compliance adds S$3,000 to S$8,000 a year. Singapore one-tier dividends add no local tax, but foreign shareholders may be taxed again at home.

For commercial and industrial assets, where no ABSD applies and the structure's benefits come duty-free; for genuine multi-investor ventures needing share-based ownership; and for licensed development. Almost never for holding condos.

No. Entities pay SSD on disposals inside the holding period, share exits within four years attract a flat 16% seller-side ACD, and corporate lending terms typically demand more equity than the 55% personal TDSR would.
